The Club Cult is operated by AGENCY CULT SASU, a simplified joint-stock company incorporated under French law.
These Membership Terms govern the Membership relationship between Agency Cult SASU and each Member, Expert or Curator admitted to the Platform. They supplement the Terms of Use. Where they conflict with the Terms of Use on a matter specific to Membership, these Membership Terms prevail. Terms written with a capital letter have the meaning given in the Legal Definitions Master.
Membership is by application, invitation or referral. You must be at least 18 years old and provide accurate information. Every application is reviewed by a human admissions committee. An application that is not admitted is held, it is never automatically rejected, and no decision about admission is taken by automated means alone. Admission takes effect when we confirm it and the applicable Subscription has been paid.
The Platform has three Membership categories: Member, Expert and Curator, as defined in the Legal Definitions Master. The rights and obligations specific to Experts and Curators are set out in the Expert Terms and the Curator Terms.
4.1 Website only. Membership and the Subscription are purchased on the website only. No purchase takes place inside the iOS application and no Apple in-app purchase is used. The application gives access to an account already approved and paid for on the website.
4.2 Fees. The Subscription fees, the billing frequency and any one-time onboarding fee are those published on the website Pricing Schedule at the time of subscription. All fees are stated in euros inclusive of French VAT at 20 percent (TTC), and the VAT amount is shown as a separate line on every payment document.
4.3 Payment. Subscription fees are processed by Stripe for Agency Cult SASU, which is the merchant of record for Membership. By subscribing you authorise the recurring charge at the stated frequency until the Membership is terminated under this document.
4.4 Changes to fees. We may change the Subscription fees on at least 30 days written notice. If you do not accept the new fee you may terminate before it takes effect. A permanent price lock granted under the Founding Phase (section 5) is not affected by a later fee change.
During the Founding Phase, Members admitted on a founding track receive a permanent price lock at the Founding rate, on the conditions published at subscription. The price lock applies to the Subscription only. It does not extend to the Commission on Services. It is personal and non-transferable. It is forfeited permanently if the Membership is cancelled, with no reinstatement. You will be asked to acknowledge this forfeiture consequence at the moment you initiate a cancellation, and the acknowledgement is recorded.
Your statutory right of withdrawal, the waiver for a digital service with immediate access under Article L221-25 of the Code de la consommation, and the exemption for dated Services and Events under Article L221-28, are set out in the Terms of Use and apply to your Membership. Where you request immediate access at subscription and expressly waive the right of withdrawal, that waiver is recorded with its time, IP address and text version.
A Subscription runs for the period chosen at subscription, monthly or annual, and renews by tacit agreement for successive equal periods unless cancelled. In accordance with Articles L215-1 to L215-3 of the Code de la consommation, for an annual Subscription that renews by tacit agreement, we inform you in writing, no earlier than three months and no later than one month before the renewal date, that you may choose not to renew. Where that information is given late, you may terminate the renewed Subscription free of charge at any time from the renewal date, and any amount paid after the renewal date is refunded.
You may terminate your Membership at any time, on the website or through the account deletion function described in the Account Deletion and Data Rights document. Termination takes effect at the end of the current billing period, unless you request immediate closure. Fees already paid for the current period are not refunded, except where the law requires it or where section 7 applies.
We may suspend or revoke a Membership for a serious or repeated breach of these Membership Terms, the Terms of Use, the Acceptable Use rules or the Community rules, for an unresolved payment failure or chargeback, for a credible safety or legal concern, or for fraud. Where the situation is not an immediate safety risk we give notice and an opportunity to respond. On revocation for cause, no refund is due for the unused part of the period.
On termination your access ends and your profile is deactivated. We process your personal data after termination as described in the Privacy Policy and the Account Deletion and Data Rights document. Obligations that arose before termination survive, including any obligation arising from a Booking.
Membership gives access to the Platform, its community, its Events and its content. It does not include payment for a Service. A Service is booked and paid for separately under the Booking and Payment Terms, and the Service contract is between the Member and the Expert.
Contact us first at legal@theclubcult.com. Where you are a consumer and a complaint about your Membership is not resolved within a reasonable time, you may refer the matter free of charge to the consumer mediator designated by Agency Cult SASU under Articles L611-1 and L616-1 of the Code de la consommation.
These Membership Terms are governed by French law. A Member who is a consumer keeps the protection of mandatory law and, under Article 18 of Regulation (EU) 1215/2012, may bring proceedings in the courts of their place of domicile in the European Union.
